Market watchdog conference in central Vietnam offers insight into amended securities law

A conference recently held by the State Securities Commission (SSC) in Danang briefed companies and market participants in central Vietnam on amendments to the Securities Law and guiding documents, as part of the authority's 2025 legal dissemination plan.

The event, the third in a series across the northern, central and southern regions, was chaired by SSC Vice Chairman Hoang Van Thu, with the participation of officials from the Ministry of Finance, the SSC, Danang's Department of Finance, and more than 100 representatives from public enterprises, listed firms, audit companies, and local media.

In opening remarks, Thu acknowledged the full attendance of delegates despite the central region’s recent heavy losses from natural disasters.

He outlined key policy changes adopted under the Law No. 56/2024/QH15, noting that Decree 245/2025/ND-CP and Circular 19/2025/TT-BTC provide detailed guidance to support market development and strengthen the role of the securities market in medium- and long-term capital mobilization.

According to the SSC, Vietnam has issued a more comprehensive legal framework aimed at ensuring a safer, more transparent and efficient market in support of the country’s next phase of economic development.

The conference covered four main topics: an overview of amendments and supplements to the Securities Law under the Law No. 56/2024/QH15 and guiding documents; new rules on securities offerings and issuance under this law and Decree 245; revised regulations on market organization, clearing and settlement under Law 56 and Decree 245; and updated requirements for public companies under Law 56, Decree 245, and Circular 19/2025/TT-BTC.

Public companies in the region raised questions on conditions for public company status, general meeting procedures, use of financial statements in offering dossiers, information disclosure rules, and foreign ownership limits. SSC representatives provided clarifications on these issues.

The SSC said the conference series has been successful in helping organizations and businesses systematically understand the updated regulatory framework and apply it consistently in practice, contributing to a more secure and transparent market.

The regulator plans to compile a set of Q&As on the new regulations and publish them on its official portal to further support businesses in compliance.
